1. Definitions

In these Terms and Conditions:

• "Calico Dept", "we", "us", "our" refers to Calico Dept, a design studio operating from 14 Jalan Solaris 3, Mont Kiara, 50480 Kuala Lumpur, Malaysia.
• "Services" refers to interior design services as described on our website and confirmed in individual service agreements.
• "Client", "you", "your" refers to any individual or entity engaging our services or using our website.
• "Agreement" refers to the acceptance of these terms and any associated written service agreement.
• "Website" refers to the website operated by Calico Dept at calicodep.

2. Acceptance of Terms

By using our website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of this website constitutes acceptance of these terms. If you do not agree, please discontinue use of the website.

3. Service Description

Calico Dept provides interior design services including Design Inquiry & Briefing, Interior Design & Visual Narrative, and Renovation Stewardship. Full descriptions of each service are available on our website. Services are available primarily within the Klang Valley, with selected engagements elsewhere in Malaysia by arrangement.

4. Service Agreements

All service engagements are governed by a separate written service agreement, which will specify scope, deliverables, timeline, fees, and payment schedule. These Terms and Conditions form part of that agreement. In the event of any conflict, the specific service agreement takes precedence for matters directly addressed within it.

5. User Responsibilities

When engaging our services or using this website, you agree to:

• Provide accurate, complete, and current information at all times
• Use this website for lawful purposes only
• Not attempt to gain unauthorised access to any part of our website or systems
• Not reproduce, distribute, or republish content from this website without written permission
• Respond to requests for feedback, decisions, or approvals within agreed timeframes to avoid project delays

6. Intellectual Property

All design documents, drawings, renders, specifications, and other materials produced by Calico Dept remain the intellectual property of Calico Dept until full payment is received. Upon receipt of full payment, the client receives a non-exclusive licence to use the design materials for the specific property or project they were created for.

Clients may not share, publish, or distribute design materials for purposes other than the agreed project without prior written consent. All website content, branding, and visual assets are the property of Calico Dept and may not be reproduced without permission.

7. Payment Terms

Payment schedules are specified in individual service agreements. General terms:

• A deposit is required to confirm commencement of services
• All fees are quoted in Malaysian Ringgit (MYR) inclusive of applicable taxes unless stated otherwise
• Late payment may result in suspension of work until the overdue amount is settled
• Payments are non-refundable for work already completed

8. Cancellation and Refunds

If you wish to cancel a service engagement:

• Cancellation must be submitted in writing to legal@calicodep
• Fees for work completed to the point of cancellation are non-refundable
• Deposits are non-refundable unless Calico Dept is unable to fulfil the agreed service
• Specific refund terms may be outlined in your service agreement

9. Changes to Scope

Any changes to the agreed project scope after commencement must be agreed in writing by both parties. Scope additions may incur additional fees, which will be communicated and confirmed before work proceeds.

10. Disclaimers

Calico Dept provides services to the best of our professional ability and in line with reasonable industry standards. We do not make guarantees regarding specific results, property values, or client satisfaction outcomes, as these are subject to factors outside our control including contractor workmanship, material availability, and client decisions made independently of our advice.

The website is provided "as is". We do not warrant that it will be available at all times or free from errors.

11. Limitation of Liability

To the extent permitted by Malaysian law, Calico Dept's total liability for any claim arising from our services is limited to the fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental losses, including loss of profit, loss of data, or damage arising from third-party contractor work.

12. Confidentiality

We treat all client project information, property details, and personal circumstances as confidential. We will not share, publish, or use your project information for promotional purposes without your written consent.

13. Termination

Either party may terminate a service agreement by written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice. Upon termination, fees for completed work remain payable. Clauses relating to intellectual property, confidentiality, and limitation of liability survive termination.

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Malaysia. Any disputes will first be addressed through good-faith discussion between the parties. If unresolved, disputes will be referred to mediation or, if necessary, to the courts of Malaysia with jurisdiction in Kuala Lumpur.

15. General

• Entire Agreement: These terms, together with any written service agreement, constitute the entire agreement between the parties on the matters covered.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that right in future.
• Assignment: You may not assign your rights under these terms without written consent.

16. Changes to These Terms

We may update these Terms and Conditions from time to time. The updated version will be posted on this page with a revised effective date. Continued use of our website or services constitutes acceptance of the revised terms.
